DIGI COMMUNICATIONS LAUNCHES INITIAL PUBLIC OFFERING

DIGI Communications is a leading provider of telecommunication services in Romania and Hungary, based on number of revenue generating units.

MAIN TERMS FOR RETAIL TRANCHE

Offer period is set between 28th of April 2017 and 10th of May 2017 (including).

Retail investors will be given a guaranteed allocation of 100%, for a maximum number of offer shares, on a first come first served base up to a total number of offer shares according with the Prospectus.

Retail investors are entitled to a discount of 7% of the offer price for applications validly made in the first 5 business days of the offer period, and a discount of 3% of the offer price for applications validly made in the 6th until the 8th business day of the offer period according with the Prospectus.

HOW CAN YOU PLACE AN APPLICATION FOR THE INITIAL PUBLIC OFFERING

Retail investors can apply to purchase offer shares through BRD – Groupe Societe Generale S.A. units, as well as through other local underwriters and eligible participants mentioned in the Prospectus (please read the Prospectus). The eligible participants list is published on Bucharest Stock Exchange website www.bvb.ro.

The Prospectus was published on the 26th of April 2017 and can be accessed in electronic format on Issuer’s website www.digi-communications.ro, Bucharest Stock Exchange website www.bvb.ro and on the local underwriters websites, including on BRD – Groupe Societe Generale S.A. website www.brd.ro.

The Initial Public Offering Prospectus was approved by the Netherlands Authority for the Financial Markets (Stichting Autoriteit Financiële Markten), the approval being notified to the Romanian Financial Supervisory Authority and to the European Securities and Markets Authority (ESMA), according with applicable EU law.
